Terms of Service

These Terms of Service (the “Terms”) govern access to and use of Smengo — a web application for planning team work schedules, available at smengo.com (the “Service”). The Service is operated by the Smengo team (“Smengo”, “we”). By registering an account or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of a company, you confirm that you are authorised to accept these Terms for that company.

1. The Service

Smengo lets organisations plan and track team work schedules: a monthly grid of employees and days, work statuses (working day, day off, vacation, sick leave and custom statuses), departments, coverage alerts, exports and multi-user access with roles. The feature set depends on the selected plan and may evolve over time.

2. Account and registration

To use the Service you must create an account with accurate, up-to-date information and keep it accurate. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old and have the legal capacity to enter into this agreement. Organisation owners and administrators control who has access to their organisation’s data and are responsible for the actions of users they invite.

3. Trial, subscriptions and payments

New organisations receive a free 14-day trial with no payment card required. When the trial ends, continued full use of the Service requires a paid subscription; otherwise the account switches to a limited read-only mode and your data is preserved. Payments are processed by Paddle (Paddle.com Market Ltd / Paddle.com Inc.), our Merchant of Record. Paddle is the seller of record: it handles checkout, invoicing, payment methods, sales taxes / VAT and refunds in accordance with Paddle’s own terms (paddle.com/legal). By purchasing a subscription you also agree to Paddle’s Buyer Terms. Subscriptions renew automatically for the chosen billing period until cancelled. You can cancel at any time, with effect from the end of the current paid period. Prices may change; we will notify you of price increases in advance, and they take effect from the next billing period. Refunds are handled in accordance with Paddle’s refund policy unless the law of your country requires otherwise.

4. Your data

All data your organisation adds to the Service — employee names, departments, schedules, statuses and other records (“Customer Data”) — belongs to your organisation. We process Customer Data only to provide the Service, as described in our Privacy Policy. You are responsible for ensuring that you have a lawful basis to add personal data of your employees to the Service and for the accuracy of that data. You can export your data and request its deletion at any time.

5. Acceptable use

You agree not to: • use the Service for unlawful purposes or in violation of the rights of others; • attempt to gain unauthorised access to the Service, other accounts or its infrastructure; • interfere with the operation of the Service, including excessive automated load, scraping or denial-of-service attacks; • reverse engineer, copy or resell the Service or its parts without our written consent; • upload malicious code or unlawful content. We may suspend or terminate accounts that violate these rules.

6. Intellectual property

The Service, including its code, design, logo and content (excluding Customer Data), is owned by Smengo and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable right to use the Service for the duration of your subscription, in accordance with these Terms.

7. Availability and warranties

We aim to keep the Service available around the clock, but provide it “as is” and “as available”, without warranties of uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance or updates and will try to minimise such interruptions.

8. Limitation of liability

To the maximum extent permitted by law, Smengo is not liable for indirect or consequential damages, loss of profit, data or business arising from the use of, or inability to use, the Service. Our total aggregate liability under these Terms is limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Term and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for material breach of these Terms, with notice where reasonably possible. After termination or trial expiry your data is retained in read-only mode for a reasonable period so that you can export it, after which it may be deleted.

10. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you by email or in the app at least 14 days before they take effect. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

11. Governing law and disputes

These Terms are governed by the laws of Ukraine, unless mandatory consumer protection rules of your country of residence provide otherwise. The parties will first attempt to resolve any dispute by negotiation; if that fails, disputes are resolved by the competent courts.
